1. Who These Terms Apply To

These Terms apply to all users of the Aibexx platform, including:

• Hospitals and hospital systems
• Academic Medical Centers and research institutions
• Enterprise health systems
• Individual Principal Investigators and research department staff
• Any authorized personnel accessing Aibexx under an institutional license

2. What Aibexx Does

Aibexx is an AI governance and orchestration platform that sits between your organization's applications and large language models. Aibexx intercepts AI requests at the API layer to enforce compliance policies, optimize inference costs, and generate immutable audit trails, allowing healthcare institutions to govern AI as accountable digital infrastructure.

3. Acceptable Use

You agree to use Aibexx only for lawful purposes and in accordance with these Terms. You may not:

• Use the platform in any way that violates applicable federal, state, or local laws or regulations
• Attempt to gain unauthorized access to any part of the platform or its infrastructure
• Use the platform to transmit harmful, fraudulent, or malicious content
• Reverse engineer, copy, or replicate any part of the Aibexx platform or its underlying technology
• Share your account credentials with unauthorized users

4. Licensing and Payment Terms

• Aibexx is offered under an annual software license
• Researcher Tier: $25,000 per year per center or lab
• Enterprise Tier: $150,000 per year minimum, or 30% of verified AI cost savings, whichever is greater
• Payment is due within 30 days of invoice (Net 30)
• Licenses are non-transferable without written consent from Aibexx Inc
• Aibexx reserves the right to suspend access for non-payment after reasonable notice

5. Intellectual Property

All technology, software, methods, and content comprising the Aibexx platform are the exclusive property of Aibexx Inc. This includes patent-pending AI optimization and governance methods with claims indicated as allowable by the USPTO (Art Unit 2191). Nothing in these Terms grants you ownership of any Aibexx intellectual property. You retain ownership of your own institutional data.

6. SMS and Text Message Communications

By providing your phone number and checking the SMS consent box on any Aibexx form, you agree to receive text messages from Aibexx related to your inquiry, account, or pilot program.

• We do not share your phone number with third parties for their own marketing purposes
• SMS consent is not a condition of purchasing or using Aibexx services

7. HIPAA Compliance

Aibexx is built on HIPAA-compliant infrastructure. Users are responsible for ensuring their use of the platform complies with all applicable healthcare privacy laws, including HIPAA, within their institution.

8. Limitation of Liability

To the maximum extent permitted by law, Aibexx Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform. Our total liability to you for any claim shall not exceed the amount you paid to Aibexx in the 12 months preceding the claim.

9. Termination

Either party may terminate a license agreement with 30 days written notice. Aibexx reserves the right to terminate access immediately for material breach of these Terms, including non-payment or misuse of the platform. Upon termination, your right to access the platform ceases and data retention terms outlined in the Privacy Policy apply.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page. Continued use of the platform after changes constitutes acceptance of the updated Terms.
